JOSE AGUSTIN PRECIADO

José Agustin Preciado is a Senior Partner at FABREGA MOLINO. His practice focuses on mergers and acquisitions, real estate, general transactional issues and tax. He has worked on both public and private entities. He is also an expert on energy, healthcare, telecommunications, franchising and retail sectors. Mr. Preciado has corporate and transactional experience with an emphasis on advising private equity sponsors and their portfolio companies in a wide variety of transactions, including acquisitions and investments, joint ventures and other corporate matters.

Throughout his careers he has acted as Chief Legal Advisor to the Ministry of Government and Justice (1992-1993), Chief Legal Counsel to the Minister of Housing (1993-1994) and Vice President of the Board of Directors of the Social Security Administration of Panama (1999-2004).  He has lectured professional and business leaders on Real Estate, Tax and Transactional issues. Through the last years, Mr. Preciado has been ranked by Chambers and Partners Global and Latin America, recognizing his expertise in Real Estate; stating, “Versatile attorney, offering a wide range of services in the real estate sphere.   • Counsel of Franco Nevada Corporation (Canada) in its precious metals stream financing agreement and  guarantees contracts with First Quantum Minerals LTD and Korea Resources Corp. Franco Nevada has committed USD$1.36B for the construction of Minera Panama’s Cobre Project, currently one of the world’s largest copper mines in production.  We have advised Franco Nevada in all due diligence processes and transaction documents. 
  • Counsel of Orla Mining LTD. (Canadian) a concerning the purchase of Cerro Quema Mine Project located in Los Santos Province, Panama. We assisted with due diligence of Minera Cerro Quema, S.A. and other related entities, as well as drafting all transaction documents.
  • Legal Advice on the acquisition, expansion and operations of important international company in the gaming sector company, including regulatory, employment and commercial matters. 
  • The Firm advises Digicel Group, one of the four mobile network operators in Panama, in all regulatory and commercial matters. The firm has advised Digicel since it’s initial concession process in 2008.
  • The firm advises Merck Sharp & Dohme (MSD), one of the largest multinational pharmaceutical companies in the world, on corporate and regulatory matters.
