FEDERICO MORENO ORILLAC

Federico joined our firm in 2015, focusing his practice on commercial transactions, mergers & acquisitions, corporate restructuring, and family businesses. He also advises private clients and family offices.

He actively plans and structures corporate and commercial operations, advising our clients in all¬†stages of the¬†process, from due diligence to drafting and negotiating complex contracts adapted to each client’s specific needs.

Federico has led various transactions in the real estate sector, demonstrating strategic acumen and versatility, including areas such as sustainability, reforestation, and special regimes.

He has vast experience in corporate and family governance matters, allowing him to offer specialized guidance to private clients and companies on optimising their organizational structures.

Relevant Transactions

  • Legal advising of an international company with more than 100 years of experience in the cement industry that acquired a local cement company, including a complete due diligence report covering corporate, regulatory, litigation, intellectual property, real estate, contractual, and insurance areas of the company; the drafting of the share purchase agreement and other fundamental agreements for the fulfillment of the transaction.
  • Legal advising, complete due diligence report, preparation and gathering of all pertinent documents for the purchase and acquisition of an international optician whose holding company is Panamanian.
  • Legal advising for Hielo Ameglio, S.A., a company that acquired a local commercial ice production company with fuel dispatch permits in local ports. FABREGA MOLINO developed a complete due diligence report. We drafted and continued to negotiate the final version of the share purchase agreement based on our findings. This case was particularly interesting because the target company has special government concessions to dispatch fuel and general goods in several Panama ports.
  • Legal advising for the Spanish company CLH Aviaci√≥n in the tender for the fuel dispatch of the Tocumen International Airport, to which the public tender.
